The consideration is structured as 100% stock, with Tempus holding the option to elect cash payment for up to 50% of the total. Personalis delivered preliminary second-quarter revenue of $22.4 million and 10,384 clinical tests, a 33% increase in test volumes quarter over quarter.
The deal builds on a partnership established in November 2023, under which Tempus commercialized Personalis' NeXT Personal test. With about 2.1 million new cancer diagnoses expected in the U.S. this year and Medicare coverage secured in three indications, the combined platform aims to capture a growing share of the MRD monitoring market. The transaction is expected to close in late 2026 or early 2027, subject to Personalis shareholder approval and regulatory clearances.
The acquisition brings together Tempus' multimodal data platform and AI capabilities with Personalis' tumor-informed MRD technology, which detects microscopic traces of circulating tumor DNA in a patient's blood to track treatment response and identify early recurrence. Tempus shares fell 4% in premarket trading Monday, while Personalis shares declined 5%.

The MRD testing market has drawn increasing interest from diagnostics companies and health systems as longer survival rates for cancer patients create sustained demand for post-treatment monitoring. Tempus, which went public in 2024, has expanded its oncology portfolio through both organic development and strategic acquisitions, leveraging its library of multimodal clinical data to train AI models for treatment selection and drug discovery.
