Wix.com Ltd. investors face a September 22 lead plaintiff deadline in a class action alleging misleading AI disclosures caused a $126.42 per-share decline.
"Individual officers named in securities complaints may face scrutiny when public statements allegedly conflict with later disclosures about product performance and customer demand," Joseph E. Levi, managing partner at Levi & Korsinsky, said.
The complaint, filed as Yappi v. Wix.com Ltd. (No. 26-cv-08852, N.D. Ill.), covers purchases between February 19, 2025 and May 12, 2026. It names Wix and executives Avishai Abrahami, Lior Shemesh, and Nir Zohar, alleging they overstated the competitiveness of the company's AI products while understating development and promotion costs tied to the June 2025 Base44 acquisition.
WIX shares fell from $181.74 on May 20, 2025 to $55.32 on May 13, 2026, a decline of more than 69 percent. The drop followed a sequence of disclosures: Q1 2025 results on May 21, 2025 that missed analyst expectations and sent shares down more than 16 percent; Q3 2025 results on November 19, 2025 revealing Base44 cost pressures, down nearly 20 percent; and Q1 2026 results on May 13, 2026 that missed consensus and acknowledged the Wix Harmony platform had "holes" and "missing capabilities," down more than 27 percent.
Analyst downgrades compounded the decline. JPMorgan cut Wix to Underweight from Neutral on March 27, 2026, lowering its price target to $91 from $114. UBS downgraded to Neutral from Buy on April 2, 2026, cutting its target to $96 from $145. Citizens moved to Market Perform from Market Outperform on April 7, 2026, citing Base44 costs and competition.
The lead plaintiff process under the Private Securities Litigation Reform Act allows any investor who purchased WIX securities during the class period to seek appointment. The court typically selects the movant with the greatest financial interest who is also typical and adequate of the class. Investors who bought during the class period and sold at a loss may be eligible to participate regardless of whether they still hold shares.
The complaint specifically highlights statements attributed to Nir Zohar, Wix's co-founder and president, in connection with the company's August 2025 results, including representations regarding demand, conversion trends, monetization, and AI tools. Plaintiffs allege those statements were materially misleading because Wix was facing product execution gaps, competitive pressure, and rising AI-related cost burdens.
Robbins Geller Rudman & Dowd, which filed the complaint, recovered more than $916 million for investors in 2025, according to the firm. Levi & Korsinsky has secured hundreds of millions of dollars for aggrieved shareholders over the past 20 years.
The September 22 deadline determines who directs the litigation and selects class counsel. A lead plaintiff appointment gives that investor oversight of how the case proceeds, while all eligible class members share in any potential recovery. Wix has not yet responded publicly to the complaint.
