New Fortress Energy's board approved a 1-for-50 reverse stock split to lift its share price above Nasdaq's $1 minimum bid requirement.
The split is intended to help the LNG and power infrastructure company regain compliance with the minimum bid price requirement for continued listing on the Nasdaq Global Select Market, New Fortress Energy said in a statement Sept. 9.
The reverse split applies to Class A shares with $0.01 par value. The company did not disclose an effective date or the post-split share count. NFE shares have traded below the $1 threshold, triggering the compliance action under Nasdaq's continued listing standards.
The action is a mechanical response: reducing the outstanding share count proportionally raises the per-share price without changing the company's market value. A 1-for-50 ratio is among the more aggressive reverse split ratios seen on US exchanges, reflecting how far the stock has fallen from the compliance threshold.
The approach contrasts with peers that restored compliance through organic price recovery. XCharge (Nasdaq: XCH) and GameSquare Holdings (Nasdaq: GAME) both received Nasdaq confirmation in September after their shares held at or above $1 for 10 consecutive business days, closing their deficiency matters without a split.
For existing shareholders, the split reduces the number of shares held by a factor of 50 while proportionally increasing the per-share price, leaving the total value of holdings unchanged before any market reaction. The action does not alter the company's market capitalization.
Reverse splits are frequently read by investors as a distress signal, and the move does not address the underlying pressures that drove NFE's stock below the threshold. The stock must sustain a closing bid price above $1 after the split takes effect, or the company faces delisting from the Global Select Market. Delisting would force index funds to sell and could sharply reduce trading liquidity.
Investors will watch for the effective date of the split and whether the post-split price holds above the $1 minimum in the sessions that follow. The company's next disclosure on the split's timing will be the key near-term catalyst.
