Nexo Re-Enters US After $45M Settlement Forces Overhaul
Crypto lender Nexo has officially returned to the United States market, three years after a regulatory action forced its departure. The re-entry follows a January 2023 settlement where the firm paid $45 million to the Securities and Exchange Commission (SEC) and state regulators. The enforcement action targeted Nexo's Earn Interest Product (EIP), which regulators alleged was an unregistered security offered to retail investors. This settlement, which Nexo agreed to without admitting or denying the allegations, led the company to cease its EIP for U.S. clients and withdraw from the market.
Bakkt Partnership Anchors New US Compliance Framework
Nexo's new strategy is built on a fundamentally different structure designed for regulatory compliance. Instead of offering products directly, the company now operates through a partner-led model. A key element of this approach is a collaboration with Bakkt, a publicly traded and regulated U.S. crypto firm. By leveraging Bakkt's licensed infrastructure for services like trading and custody, Nexo shifts from being a direct issuer to an operator within a pre-approved regulatory system. This structure is designed to directly address the SEC's previous concerns about unregistered securities, transparency, and counterparty risk.
Partner Model Offers Blueprint for US Crypto Lending
The return signals a potential new phase for the U.S. crypto lending industry, moving from direct-to-consumer models to frameworks that prioritize licensed intermediaries. This partner-led structure segregates functions like custody and advisory services to regulated entities, creating multiple layers of supervision. If this model proves successful and withstands regulatory scrutiny, it could establish a viable path for other international crypto companies to enter or re-enter the U.S. market. The success of this approach will depend on its transparency and risk management, but for now, it marks a strategic evolution from challenging securities laws to integrating within them.
