LKQ Corporation (NASDAQ: LKQ) is facing a securities class action lawsuit alleging the company misled investors about its $2.1 billion acquisition of Uni-Select and the financial health of its subsidiary, FinishMaster.
"When analyst expectations are built on incomplete or misleading company disclosures, the resulting corrections can cause significant investor harm," Joseph E. Levi at law firm Levi & Korsinsky said in a statement. "In this case, the gap between what LKQ told the market and what was allegedly happening at FinishMaster widened over multiple quarters."
The lawsuit, filed on behalf of shareholders who purchased stock between February 2023 and July 2025, contends that LKQ's management concealed significant customer losses at FinishMaster that began before the Uni-Select acquisition was even completed. When announcing the deal, LKQ projected $55 million in cost synergies and told investors the deal presented "minimal integration risk." These projections were incorporated into analyst models, which the complaint argues were based on misleading information.
The allegations came to a head through a series of damaging disclosures. On April 26, 2024, LKQ lowered its fiscal 2024 guidance, sending shares down $5.29, or 13.8 percent, in a single session. Three months later, the company missed the already-reduced targets and cut guidance again, triggering another 12.3 percent drop. By October 2024, LKQ admitted that FinishMaster had been losing major customers since "pre-acquisition," directly contradicting the initial "minimal risk" assessment. The financial impact became clearer by April 2025, when the company's Wholesale North America segment missed revenue targets by approximately $200 million.
The repeated guidance cuts and revelations of customer loss have created significant legal and financial uncertainty for the automotive parts distributor. The lawsuit argues that investors who bought shares at inflated prices based on the initial synergy narrative are entitled to compensation for the subsequent losses.
