Metaplanet will invest 2,100 Bitcoin, about $132.1 million, plus $2.5 million in cash into Super League to create a Nasdaq-listed US Bitcoin treasury platform.
"We've built one of the world's largest Bitcoin treasuries from Japan. Superplanet is how we build in America, the deepest capital market in the world," Simon Gerovich, chief executive officer of Metaplanet, said.
Metaplanet will receive 44,859,400 shares of Super League common stock at $3.00 per share, an aggregate investment of about $134.6 million, plus preferred stock and warrants. Upon closing, Super League will be renamed Superplanet, Inc., trade under the ticker SUPA, and become a consolidated subsidiary of Metaplanet, which will hold about 95.7 percent of its common stock. All Metaplanet shares carry a five-year lock-up. The 2,100 Bitcoin represents about 4.9 percent of Metaplanet's holdings, which stood at 43,000 BTC as of Aug. 18, making it the world's third-largest corporate Bitcoin holder among publicly traded companies.
The deal creates a consolidated group with two listed Bitcoin treasury platforms, one on the Tokyo Stock Exchange and one on the Nasdaq Capital Market, each funding long-term Bitcoin accumulation from its own capital market. Superplanet plans to issue perpetual preferred stock backed by its Bitcoin holdings to raise capital without diluting common shareholders, and to publish its own Bitcoin-per-share metrics after closing. Super League's gaming media business, which connects brands with a global population of 3.3 billion video game players, will continue as a distinct operating segment under Chief Executive Officer Matthew Edelman, who will lead Superplanet.
The transaction extends corporate adoption of Bitcoin as a reserve asset into the US market, where Metaplanet expects to access capital at a scale unavailable to a company of its size in Japan. Super League shares rose 33 percent and Metaplanet gained 5.1 percent on the announcement, while Bitcoin traded roughly flat. The deal is expected to close in the fourth quarter of 2026, subject to Super League stockholder approval, Nasdaq filings and regulatory procedures in the US and Japan.
