Nouveau Monde Graphite Inc. (NYSE: NMG, TSX: NOU) secured shareholder approval for a US$213 million private placement and finalized a key offtake agreement with the Canadian government, advancing its plan to build one of North America’s largest graphite production hubs in Quebec.
"We are very pleased with the signing of this binding offtake with the Government of Canada which, in combination with other offtakes already signed with Traxys and Panasonic Energy will allow for a healthy diversification of our sales mix," Eric Desaulniers, Founder, President, and CEO of NMG, said in a statement.
The financing and offtake agreements provide major de-risking for the company’s two-part development plan: the Phase-2 Matawinie Mine and a battery materials plant in Bécancour, Quebec. The approvals are a critical step toward a final investment decision, with construction at the Matawinie mine site already underway to meet a projected commissioning date by the end of2028.
The project aims to provide a Western alternative to China's dominance in the graphite market, a critical material for electric vehicle batteries and energy storage. According to BloombergNEF, a global graphite deficit is expected by 2032 as demand from the lithium-ion battery sector increases, a market reality that underpins the strategic importance of NMG's Quebec-based production.
Government Backing and Offtake Deals
A cornerstone of the project's viability is a definitive seven-year, take-or-pay offtake agreement with the Government of Canada. Under the terms, the government will purchase 30,000 tonnes of graphite concentrate per year from the Matawinie Mine at a fixed price, representing just under a third of the mine's planned output.
This agreement complements existing offtake deals with Panasonic and Traxys, diversifying NMG's customer base to include EV batteries, refractory materials, and other specialty applications. Italian energy firm Eni S.p.A., a key investor in the private placement, has also signed a letter of intent for a potential offtake of graphite concentrate or active anode material.
Matawinie and Bécancour Projects
The Matawinie Mine, located about 100 miles north of Montreal, is projected to produce 106,000 tonnes per annum of flake graphite. More than 50% of the project's capital expenditures are already secured through major contracts, with costs remaining within the estimates of the 2025 feasibility study.
The second component is a 13,000-tonne-per-year active anode material plant to be built at a brownfield site in Bécancour, Quebec. The company is advancing its retrofit plan for the site, with a final investment decision for the plant anticipated in the second half of 2026. This facility is positioned within an emerging battery-component hub that also includes projects by General Motors Co. and Nemaska Lithium Inc.
