PennyMac Financial Services, Inc. (NYSE: PFSI) is under investigation by Rosen Law Firm for potential securities claims, following allegations that the company issued misleading business information to investors.
"Rosen Law Firm, a global investor rights law firm, continues to investigate potential securities claims on behalf of shareholders of PennyMac Financial Services, Inc. resulting from allegations that PennyMac may have issued materially misleading business information to the investing public," the firm stated in a press release.
The investigation follows PennyMac's January 29, 2026, announcement of its fourth-quarter and full-year 2025 financial results. The report revealed that the company's servicing segment pretax income fell to $37.3 million, a steep decline from $157.4 million in the prior quarter. Pretax income excluding valuation-related items also dropped 70 percent from the previous quarter to $47.8 million.
The news triggered a sharp sell-off, with PennyMac's stock price falling $49.78 per share, or 33.3%, to close at $99.92 on January 30, 2026. The decline has drawn scrutiny from investors and legal firms, culminating in the current investigation into whether the company's public statements provided a full and accurate picture of its financial health.
Adding to the pressure, institutional investors appear to be losing confidence. The Columbia Small Cap Value and Inflection Fund sold its entire position of 93,206 shares in the first quarter of 2026, according to GuruFocus data. The fund had been actively trading the stock since the third quarter of 2024.
The investigation puts PennyMac's investor communications and financial reporting under a microscope. The 33% single-day decline in its stock has wiped out significant shareholder value, and the legal inquiry could result in a class-action lawsuit, seeking to recover losses on behalf of investors who purchased shares during the period of the alleged misleading statements.
