A securities fraud class action has been filed against Rackspace Technology after its shares fell 33.6% on July 9, 2026.
The complaint, filed by Bleichmar Fonti & Auld LLP, alleges the hybrid cloud and AI company misled investors about its AI efforts and their impact on financial performance, the firm said.
Rackspace's stock dropped $2.21 per share, from $6.58 to $4.37, after the company revealed its AI investments required a significant re-prioritization of resources and a "transition away" from certain revenue-generating segments. The company cut its full-year 2026 revenue guidance by $150 million and its Private Cloud revenue outlook by $25 million.
The case, Morgan-Reed v. Rackspace Technology, is pending in the U.S. District Court for the Southern District of New York. Investors have until September 28, 2026 to ask the court to be appointed lead plaintiff.
Rackspace operates physical infrastructure to host cloud services and artificial intelligence, and provides Rackspace AI, a portfolio of services to help organizations scale AI adoption. During the relevant period, the company announced a memorandum of understanding with Advanced Micro Devices to build out its AI infrastructure, reaffirming full-year revenue guidance the same day. Rackspace told investors the AMD partnership gave it "confidence in the full year Private Cloud growth profile." In truth, the AI efforts would require pulling capacity away from revenue-generating segments, the complaint alleges.
The suit asserts claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 against the company and certain senior executives. Representation is on a contingency fee basis, with shareholders not responsible for court costs or expenses of litigation. Bleichmar Fonti & Auld has recovered more than $900 million in value from Tesla's board and $420 million from Teva Pharmaceutical, according to the firm.
The litigation adds to pressure on Rackspace, whose shares have lost more than a third of their value since the guidance cut. Investors will watch for the lead plaintiff appointment and any further disclosure of the company's AI capacity reallocation plans.
