Two law firms have filed class action lawsuits against United Homes Group, Inc. (NASDAQ: UHG), setting a June 9, 2026, deadline for investors to seek lead plaintiff status for alleged securities law violations.
"Our practice centers on restoring investor capital and ensuring corporate accountability, which serves to uphold the essential integrity of the marketplace," Peretz Bronstein, Founding Partner of Bronstein, Gewirtz & Grossman, LLC, said in a statement. His firm and Faruqi & Faruqi, LLP are both pursuing claims on behalf of investors who acquired securities between May 19, 2025, and February 22, 2026.
The lawsuits allege that the company's controlling shareholder, Nieri, intended to force a sale of the company and took actions to devalue it. The complaints state Nieri leveraged his controlling interest to effectuate the sale, which included allegedly forcing the resignation of dissident directors, and was not acting in the best interests of the company and public investors.
The legal action seeks to recover damages for investors who suffered losses, alleging that throughout the class period, the company made materially false or misleading statements and failed to disclose the adverse facts about its business and operations.
Allegations of Control
The core of the complaints focuses on the actions of the company's controlling shareholder. According to the lawsuit filed by Bronstein, Gewirtz & Grossman, defendants failed to disclose that Nieri was actively working to devalue United Homes Group to facilitate a forced sale. This included using his significant influence to remove board members who opposed his strategy.
Both law firms have encouraged investors who suffered a loss in United Homes during the class period to come forward. The firms note that an investor's ability to share in any potential recovery does not require them to serve as the lead plaintiff. The firms are representing investors on a contingency fee basis, meaning they only seek reimbursement and attorneys' fees if they are successful in the litigation.
The lawsuits place a spotlight on corporate governance at United Homes Group. The key date for investors is the June 9, 2026, lead plaintiff deadline, after which the litigation will enter its next phase.
