Applied Optoelectronics entered an equity distribution agreement allowing at-the-market sales of up to $600 million in common stock through Raymond James and Needham.
The agreement, disclosed in an 8-K filed Aug. 21, lets the Sugar Land, Texas-based optical communications company sell shares incrementally on the Nasdaq Global Market at prevailing prices. The company controls timing, size, and minimum price through placement notices, according to the filing. Sales may also be made through other existing trading markets or to or through a market maker.
The sales agents will receive a 2 percent commission on gross proceeds. Applied Optoelectronics also agreed to reimburse up to $10,000 for blue sky and FINRA registration costs and up to $30,000 in out-of-pocket expenses under certain termination conditions. The shares are registered under the company's automatic shelf registration statement on Form S-3ASR (No. 333-283905), with a prospectus supplement filed the same day.
The $600 million facility represents potential dilution for existing shareholders if fully utilized, though the company has not disclosed intended use of proceeds. The capital raise comes as Applied Optoelectronics expands its optical component portfolio for AI data center applications, competing with Coherent, Lumentum, and Fabrinet in the high-speed transceiver market.
Applied Optoelectronics has no obligation to sell any shares and may suspend or terminate the program at any time. The offering will terminate upon the sale of all shares subject to the agreement, or earlier at the company's or the sales agents' discretion. The agreement also includes indemnification provisions for the sales agents against certain liabilities under the Securities Act.
The company's stock trades on the Nasdaq Global Market under the ticker AAOI. The ATM program provides a flexible capital-raising mechanism that could fund growth initiatives in AI and data center optical components, though the company has not specified how proceeds would be used. The company's optical transceivers and laser products serve telecommunications, cable, and data center customers, with AI-driven demand for high-speed connectivity reshaping the competitive dynamics of the sector.
Investors will watch for placement activity disclosures in future SEC filings to gauge the pace of share sales and the resulting impact on share count. The 2 percent commission structure is standard for ATM programs of this size, and the at-will nature of the agreement gives management discretion over when to tap the facility. The company's ability to raise capital through this mechanism could support R&D investments and capacity expansion as demand for optical components accelerates.
