Hagens Berman filed a securities fraud class action against Alibaba, alleging undisclosed military ties and AI distillation fraud that erased 45 percent of ADS value.
"We are investigating whether Alibaba executives intentionally concealed the company's regulatory ties and engaged in fraudulent operational practices to mislead the market about its true risk profile and competitive position," Reed Kathrein, partner at Hagens Berman, said.
The case, Wistisen v. Alibaba Group Holding Limited, No. 1:26-cv-06654, filed in the Southern District of New York, covers purchases between June 26, 2025 and June 24, 2026. BABA ADSs traded as high as $173.68 on Oct. 9, 2025, and closed at $95.07 on June 25, 2026 — a decline of $78.61 per ADS, or approximately 45 percent. The complaint alleges Alibaba failed to disclose its affiliation with China's Ministry of Industry and Information Technology, which could classify the company as a Chinese military company under the National Defense Authorization Act. It also alleges Alibaba conducted a distillation attack on a major Western AI model, with Anthropic PBC reporting 28.8 million exchanges through roughly 25,000 fraudulent accounts.
The lead plaintiff deadline is Oct. 5, 2026. The stock fell 3.26 percent on Aug. 11 as legal headlines added to pre-earnings caution ahead of the company's quarterly report on Aug. 20. Alibaba has missed consensus EPS estimates for four consecutive quarters, with heavy capital expenditures on AI infrastructure and aggressive cloud price discounts squeezing operating margins.
The June 8, 2026 U.S. Department of Defense list and the June 24, 2026 Bloomberg report on Anthropic's allegations preceded successive ADS declines of 3.9 percent, 2.7 percent and 4.7 percent. The company also faces a €550 million fine from European Union regulators over AliExpress marketplace compliance failures.
Alibaba's annual revenue reached $144.14 billion with net profit of $14.91 billion, ranking fifth and eighth respectively in the Software & IT Services industry. Wall Street consensus maintains a constructive medium-term outlook with an average price target of $186.69, though the low-end target sits at $92.00. Technical indicators show the stock in near-overbought territory with RSI at 71.7, while options markets reflect an elevated event volatility premium in U.S.-listed contracts relative to Hong Kong trading. The allegations carry broader implications for U.S.-listed Chinese technology companies facing heightened scrutiny over regulatory disclosures and national security considerations.
